Krogerus advises Fortaco in the divestment and carve-out of Fortaco Finland's steel fabrication and assembly business
Krogerus advised Fortaco in the divestment and carve-out of Fortaco Finland's steel fabrication and assembly business specializing in heavy mechanics and complex assembly to Hanza Group. The divestment sharpens Fortaco’s strategic focus and enables it to fully concentrate on and reinforce its vehicle cabin operations as an international cabin company with attractive growth opportunities both in Europe and beyond.
The business to be divested consists of five Fortaco’s factories: assembly operations in Kurikka (Kurikka3 factory) and Sastamala in Finland as well as steel fabrication business sites in Narva, Estonia and Wroclaw and Janow Lubelski, Poland. The divested business has some 1,300 employees and annual revenue in 2025 of approximately EUR 154 million. The purchase price consists of an enterprise value of EUR 144 million as well as a possible earn-out payable based on future revenue growth.
