Banking & Finance

Our team advises lenders, borrowers and other parties to financing arrangements on a wide range of financing matters. Our work covers acquisition and debt financing, including senior, mezzanine and subordinated debt, project financing for construction and infrastructure projects, debt restructurings and securitisations. Our clients include both Finnish and international financial institutions and companies.

As a Trainee in our Banking & Finance practice, you will assist our lawyers on complex and varied assignments across different stages of financing transactions. Typical tasks include preparing corporate documentation, assisting with conditions precedent processes and security documentation, and liaising with authorities. 

Capital Markets and Public M&A

Our team works on a wide range of capital markets transactions, including IPOs, public tender offers, and bond issuances and buybacks. Our clients include Finnish and international issuers and financial sector companies. We also advise clients on matters relating to securities markets and financial regulation.

As a Trainee, your tasks will range from short legal research assignments to assisting with extensive and long-running processes. You will contribute to prospectus drafting, due diligence, the preparation of corporate resolutions and other legal research. Your responsibilities will also include actively monitoring regulatory developments. Our assignments combine legal work with the dynamics of the capital markets, making this practice an excellent choice if you are interested in securities markets, financial regulation and corporate law. 

Competition & Regulatory

Our team advises on matters involving competition law infringements, merger control, public procurement and state aid. We also work on regulatory matters in sectors such as energy, communications and telecommunications.

As a Trainee, your work will mainly involve researching a variety of competition law questions. Your tasks may include reviewing and compiling relevant case law for market definition purposes or gathering background materials for competition law proceedings. You will also assist with translations, prepare presentation materials and monitor relevant case law. Trainees also have the opportunity to present current competition law topics – or even the subject of their thesis – at the team's monthly meetings.

What matters most is a genuine interest in learning more about competition law and how it is applied in practice. 

Dispute Resolution

We assist Finnish and international clients in civil and criminal litigation, arbitration proceedings, and risk assessments relating to potential disputes and crisis situations. Our assignments are often extensive and involve interesting legal questions, and assisting with research into these questions is one of the most common tasks for our Trainees.

You will also assist in drafting and translating various documents, including memoranda and court submissions. The nature of each assignment depends on factors such as the client's industry, the specific facts of the case and the applicable legislation.

Given the variety of our assignments, a broad understanding of different areas of law, strong argumentation skills and logical reasoning are valuable. More important than your existing expertise, however, are curiosity, initiative and a genuine interest in dispute resolution.

Employment & Benefits

Our Employment & Benefits team advises Finnish and international employers of all sizes on day-to-day employment law matters, cooperation procedures and employment disputes. We also act as employment law advisers to several bankruptcy estates and assist our M&A team with employment law matters arising in connection with transactions.

As a Trainee, your tasks will include legal research, drafting various responses and agreements, assisting with the day-to-day employment administration of bankruptcy estates, and translations. You will also help the team prepare training materials. Your work will be varied and may differ considerably depending on the timing of your traineeship.

Energy

We advise our clients on M&A transactions and projects in the energy sector, including wind power and other renewable energy projects, as well as transactions involving electricity and district heating networks. Our team also provides extensive advice on environmental law matters, both to our own clients and to other practice groups.

As a Trainee, you will have the opportunity to assist with due diligence reviews, the drafting of transaction documents and other agreements, as well as various research assignments relating to energy and environmental regulation. The role provides an excellent opportunity to gain practical insight into the energy sector, its regulatory environment and the transactions taking place within it.

You will get the most out of your traineeship if you have a genuine interest in renewable energy, the wider energy sector, and environmental and climate-related matters, combined with a willingness to learn and develop. Initiative, attention to detail and the ability to process large amounts of information are also valuable qualities.

Mergers & Acquisitions

Our M&A team advises clients on mergers, acquisitions and other corporate transactions, including sell-side, buy-side and investment processes. Our clients include Finnish and international private equity investors and leading industrial companies.

M&A processes are often extensive. Ideally, as a Trainee, you will be involved from start to finish, assisting at different stages of the transaction. Your tasks will vary depending on whether we represent the buyer or the seller. Typical assignments include due diligence work, ranging from compiling data rooms to contributing to due diligence reports, assisting with transaction documentation and participating in signing and closing processes. You will also assist with drafting corporate resolutions and minutes, conducting legal research and liaising with authorities.

This practice is a great fit if you are interested not only in law but also in business and the commercial aspects of transactions. If you enjoy varied, fast-paced work, want to understand how large and complex processes come together and see yourself working as part of a larger team, M&A could be the right choice for you. 

Real Estate & Construction

Our Real Estate team focuses on real estate transactions. Most of them are structured as share transactions, meaning that the process is largely similar to a traditional M&A transaction. We also have particular expertise in matters relating to lease agreements and construction. In addition to real estate transactions, our team assists clients with the development and management of their real estate portfolios. Most of our clients are international, making our work highly international as well.

On buy-side assignments, Trainees are particularly involved in due diligence processes, while sell-side work typically includes compiling and managing data rooms. You will also have the opportunity to draft and review transaction documentation, such as appendices to purchase agreements and corporate resolutions relating to transactions.

We recommend this practice to anyone interested in real estate transactions. Previous experience or knowledge of the field is not required – what matters most is your willingness to learn.

Tax

Our Tax practice advises Finnish and international clients on individual tax matters as well as tax issues arising in M&A and corporate restructuring processes. We also assist clients with tax applications and appeals, tax audits and tax disputes.

As a Trainee, you will work on a wide range of assignments varying in subject matter, scope and complexity. Typical tasks include drafting newsletters, conducting legal research, communicating with the Finnish Tax Administration and assisting with transfer tax filings. You will also have opportunities to contribute to more extensive drafting assignments, such as advance ruling applications and memoranda. In addition, you will assist with translations, updating annual tax law publications, researching case law, and preparing and updating internal guidelines, templates and presentations.

Attention to detail is particularly valuable in our Tax team, as accuracy is important across all assignments. Given the variety of the work, a willingness to learn and the confidence to take on challenging tasks will serve you well. 

Technology, Data & IP

Our practice advises on a broad range of matters involving technology, data and intellectual property. Typical assignments include IP-related agreements, registrations, investigations and disputes; IT and licensing agreements; outsourcing arrangements and other commercial agreements; as well as regulatory matters relating particularly to telecommunications, media, data protection and consumer protection.

As a Trainee, you will be an important part of the team, assisting our lawyers with legal research, contract projects, translations, and assignments relating to trademarks and corporate transactions. Trainees also frequently contribute to the preparation of training sessions and presentations.
